1. Parties & definitions
"We", "us", "our", "the Company" means MJM Connect Ltd, a company registered in England and Wales (Company Registration No. 15123552, VAT No. GB 449166075) with its registered office at 100 Shenstone Avenue, Stourbridge, West Midlands, DY8 3EJ, trading as needatrader.co.uk.
"Platform" means the needatrader.co.uk website, applications and related services. "Trader", "you", "your" means the tradesperson, sole trader or business that registers a trader account. "Customer" means an end-user who searches for or contacts traders via the Platform. "Listing" means your trader profile and any content you publish on it. "Subscription" means any paid plan you take out with us. "Fees" means subscription, transaction and any other charges payable to us.
2. Eligibility
To register and maintain a trader account you confirm that you:
- are at least 18 years old and legally able to enter into contracts;
- are based in, and trade in, the United Kingdom;
- hold and maintain all licences, certifications, registrations (e.g. Gas Safe, NICEIC, Part P, where applicable) and insurances required to lawfully carry out the work you advertise;
- are providing accurate information about yourself, your business, your qualifications and your trading history.
We may refuse, suspend or terminate any account that does not meet these eligibility requirements at our sole discretion.
3. Your listing & content
You are solely responsible for the accuracy and lawfulness of all information, text, photographs, logos, video and other content ("Content") you upload to your Listing. You warrant that you own the Content or have the necessary rights and permissions to publish it, and that it does not infringe any third-party rights or breach any law.
You grant MJM Connect Ltd a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for technical formatting only), publish and display your Content on the Platform and in associated marketing of the Platform, for the duration of your account and for a reasonable period afterwards for archival and dispute-resolution purposes.
We may, at our discretion, remove, edit or hide any Content that we believe is misleading, offensive, unlawful, infringes third-party rights or otherwise breaches these Terms.
4. Verification
You agree to take part in our identity, insurance and qualification verification checks where requested. You will provide truthful documents and information. We may suspend or hide a Listing that is unverified, that fails verification, or where verification documents have expired (for example out-of-date insurance).
5. Billing & payments
5.1 Subscription model
Premium features of the Platform are provided on a subscription basis. Current plans, prices and the features included in each plan are shown in the Trader Dashboard before you subscribe. All Fees are quoted exclusive of VAT, which will be added at the prevailing UK rate where applicable.
5.2 Payment processor
Payments are processed by our payment provider (Stripe). You authorise us, via Stripe, to charge your nominated payment method for all Fees due. You must keep your payment details up to date.
5.3 Auto-renewal & cancellation
Subscriptions renew automatically at the end of each billing period (monthly or annually, depending on the plan you choose) until cancelled. You may cancel at any time from the Billing area of your Trader Dashboard. Cancellation takes effect at the end of the current paid billing period; we do not offer pro-rata refunds for unused time, except where required by law.
5.4 Failed payments
If a payment fails, we (via Stripe) will retry the charge over a short dunning period. While a payment is overdue we may hide your Listing, restrict access to premium features and, if the payment remains unresolved, suspend or terminate your account.
5.5 Price changes
We may change Fees from time to time. We will give you at least 30 days' notice by email of any price increase to your existing plan. If you do not agree to a price change, you may cancel before it takes effect.
5.6 VAT invoices
A VAT invoice will be issued by MJM Connect Ltd for each successful payment and made available to download from the Billing area of your Trader Dashboard for at least 12 months from the date of issue.
5.7 Chargebacks & disputes
If you raise a chargeback or payment dispute that we determine to be unjustified (including disputes for services already supplied), you remain liable for the disputed amount and any associated chargeback fees. We may immediately suspend your account and pursue recovery of the sums due. Repeated unjustified chargebacks may result in permanent termination.
5.8 Lead and other charges
Where the Platform offers paid lead-introductions or other pay-as-you-go services, the specific terms, prices and refund policies for those services will be shown to you before you incur the charge and form part of these Terms.
6. Reviews & reputation
6.1 Reviews are customer opinions
Reviews on the Platform are the personal opinions of customers about their experience working with you. We do not edit the substance of reviews. We may remove or hide a review that breaches our content policy, our Terms, or applicable law (for example, defamatory content, content containing personal data, or off-topic abuse).
6.2 Fraudulent and manipulative reviews — strictly prohibited
You must not, and must not procure any other person to:
- write, post or solicit fake or misleading reviews of your business (whether positive about yourself or negative about a competitor);
- offer money, discounts, gifts, services or any other incentive in exchange for a review or for a review of a particular rating;
- engage in review-swapping schemes, "review for review" arrangements, or pay third parties (including agencies, marketplaces, friends or family) to generate reviews;
- use bots, scripts, fake email addresses, multiple accounts, VPNs or any other technique to artificially inflate, deflate or filter reviews; or
- attempt to suppress, threaten or retaliate against a customer who has left, or intends to leave, an honest review.
6.3 Sanctions
If we reasonably suspect a breach of section 6.2, we may, without notice and without refund: remove the affected reviews; remove your "verified" badge; suspend or hide your Listing; permanently terminate your account; retain any Fees already paid; and report the conduct to the Competition and Markets Authority (CMA), Trading Standards or other authorities. Fake reviews are a banned commercial practice under the Digital Markets, Competition and Consumers Act 2024 and you accept that breaches may carry regulatory consequences for you independent of these Terms.
7. Fraudulent or prohibited activity
You must not use the Platform to:
- misrepresent your identity, qualifications, insurance status, certifications or trading history;
- advertise, accept or carry out work for which you are not legally qualified or insured;
- generate fake leads, fake enquiries or fake bookings, including to manipulate Platform metrics or competitor data;
- harass, threaten, defame, discriminate against or otherwise mistreat any customer, other trader, or member of our team;
- use the Platform in connection with money laundering, fraud, deceptive pricing, identity theft or any other unlawful purpose;
- scrape, copy or systematically extract data from the Platform, or attempt to reverse-engineer, probe, or interfere with its security;
- upload viruses, malware or other harmful code, or attempt to gain unauthorised access to any account, system or data.
We may immediately suspend or terminate your account, withhold pending payouts or refunds, retain Fees paid, and report you to law enforcement and relevant regulators where we reasonably suspect any of the above.
8. Customer interactions
The Platform is an introduction service. Any contract for work is between you and the customer directly. We are not a party to that contract, do not warrant the quality, timeliness, lawfulness or safety of any work undertaken by you, and are not responsible for fulfilling, refunding, cancelling or insuring it.
You must deal with customers professionally, honour quotes you provide via the Platform, and resolve complaints in good faith. You must not transfer customer contact details to third parties for marketing without that customer's consent.
9. Insurance & liability
You must hold and maintain valid public liability insurance (and any other insurance required by law or trade body for your work) for as long as you offer services through the Platform, and provide evidence on request.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (including liability for death or personal injury caused by negligence, or for fraud). Subject to that:
- our total aggregate liability to you under or in connection with these Terms in any 12-month period is limited to the total Fees actually paid by you to us during that 12-month period;
- we are not liable for any indirect, special or consequential loss, loss of profit, loss of revenue, loss of business, loss of goodwill or loss of data.
10. Indemnity
You agree to indemnify and hold harmless MJM Connect Ltd, its directors, employees and agents from and against all claims, losses, damages, fines and reasonable legal costs arising out of or in connection with: (a) work you carry out (or fail to carry out) for a customer; (b) Content you publish on the Platform; (c) your breach of these Terms or of any law; or (d) any false or misleading information you provide to us.
11. Data protection
We process personal data in accordance with our Privacy Policy and applicable UK data protection laws (UK GDPR and the Data Protection Act 2018). Where you receive personal data about a customer through the Platform, you act as an independent data controller for that data and must comply with all applicable data protection obligations, including using customer data only for the purpose of responding to and fulfilling their enquiry.
12. Term & termination
These Terms apply from the moment you accept them (during signup or onboarding, or by continuing to use the Platform) and continue until your account is closed.
You may close your account at any time from the Trader Dashboard. We may suspend or terminate your account, immediately and without refund, if you materially breach these Terms (including, without limitation, breaches of section 6 (reviews) or section 7 (fraudulent activity)), if your account is dormant for an extended period, or if we cease to operate the Platform.
On termination, your Listing will be removed from public view. Sections that by their nature should survive (including 5 (outstanding Fees), 9 (liability), 10 (indemnity) and 14 (governing law)) will continue to apply.
13. Changes to these terms
MJM Connect Ltd reserves the right, at its sole discretion, to modify, update, add to or replace these Terms (and any related policies, plan structures or Fees) at any time during the term of your agreement with us. We will give you at least 14 days' prior notice of any material change by email and/or in-Dashboard notice. Non-material changes (such as clarifications, typographical corrections or changes required by law) may take effect immediately on publication.
Your continued use of the Platform on or after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree to a change, your sole remedy is to cancel your subscription and close your account before the change takes effect.
14. Governing law
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by, and construed in accordance with, the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
